Introduction
The first version of the UK’s corporate governance code was produced by the Cadbury Committee in 1992. Since then, the corporate governance code for UK companies on the Official List has undergone a number of revisions, with the most recent version, the UK Corporate Governance Code, being issued in May 2010 and applying to accounting periods beginning on or after 29 June 2010. From time to time, guidance for companies on different aspects of the corporate governance code have been published and bodies representing different groups of institutional shareholders also publish their own guidelines by reference to the UK’s current corporate governance code.
It is becoming increasingly difficult to keep abreast of the various laws and regulations. This Checklist, aimed primarily at UK companies with a premium listing of equity shares on the Official List, aims to pull together the different sets of rules and guidance and to summarise latest developments in relation to a number of different aspects of corporate governance, primarily by reference to the UK Corporate Governance Code.
