On August 24, 2007, Transcom Worldwide S.A. ("Transcom") acquired 100% of The NuComm Corporation ("NuComm") for maximum cash consideration of $90 million. An initial payment of $50 million was made at closing and the remainder is subject to a two tier earn-out ending in December 2008.
Transcom is a European CRM and debt collections specialist headquartered in Luxembourg with 57 sites employing more than 13,000 people delivering services to 28 countries. Transcom's shares are listed on the Nordic Exchange Mid Cap under the symbols "TWW SDB A" and "TWW SDB B". NuComm is a leading North American supplier of contact centre services headquartered in St. Catharines, Ontario, employing over 3,000 people across 14 sites in Canada, the United States and the Philippines.
