On March 7, 2008 Vista Gold Corporation ("Vista") completed an offering of US$30,000,000 principal amount of 10% convertible senior secured notes pursuant to the terms and conditions of an agency agreement (the "Agency Agreement") dated March 4, 2008 between Vista and Casimir Capital L.P. (the "Agent"). Pursuant to the terms of the Agency Agreement, Vista also issued to the Agent, warrants exercisable to purchase 200,000 common shares in the capital of the Company. The notes were secured by assets in Vista's gold mine in Mexico.
The Agent was represented by Ogilvy Renault LLP in Ontario with a team comprised of Geoffrey Gilbert, Amy Wilson, Andrea Brewer and Walied Soliman (Securities).
