Biography

Pierre R. Dagenais practises corporate and securities law, with particular emphasis on mergers and acquisitions and corporate finance. He has acted as counsel in many merger and acquisition transactions, including take-over bids and statutory arrangements. Mr. Dagenais has also acted for public companies and underwriters in connection with many public offerings and has participated in numerous private placement transactions on behalf of issuers, underwriters and investors.

In his general corporate law practice, Mr. Dagenais advises Canadian public companies on continuous disclosure obligations and corporate governance matters. He is qualified to practise both in Ontario and Alberta.

  • Acting for CHC Helicopter Corporation in connection with the pending US$3.7 billion acquisition of CHC by First Reserve Corporation.
  • Acted for Domtar Inc. in connection with its combination with Weyerhaeuser Company's fine paper business and related assets (which has created Domtar Corporation, the largest manufacturer and marketer of uncoated free sheet paper in North America and the second largest in the world).
  • Acted for Lindsay Goldberg LLC and The Brock Group in connection with their acquisition of Steeplejack Industrial Group Inc.
  • Acted for Centrica plc in connection with its acquisition from Kerr-McGee Corporation of certain producing gas fields in the North Sea.
  • Acted for Hicks, Muse, Tate & Furst Incorporated (now HM Capital Partners LLC) and Activant Solutions Inc. in connection with their cash take-over bid for Speedware Corporation Inc.
  • Acted for the special committee of the board of directors of IAMGOLD Corporation in connection with Golden Star Resources Ltd.'s unsolicited bid for IAMGOLD and IAMGOLD'S proposed combination with Gold Fields Limited's international assets.
