Biography

Marc Tremblay is Co-Chair of our Technology and Outsourcing Teams. He practises in corporate and commercial law with a focus on joint ventures, strategic alliances and mergers and acquisitions of private corporations, particularly in the technology sector. He handles transactions in the information technology and manufacturing sectors, negotiating various agreements for the outsourcing of computer services and business processes, and the development, licensing,  integration and transfer of technology.

Mr. Tremblay is qualified as a professional engineer and previously worked for an engineering consulting firm and one of the largest mining companies in the world.

Selected Client Work

Over the last four years, Mr. Tremblay has acted in technology-related transactions worth over $1 billion. His most recent large assignments include representing:

  • Emergis Inc. in connection with the sale to CT-Payment Inc. of its Assure card processing business, which handles credit and debit transactions between merchants and financial institutions
  • Metro Inc. in the creation of Dunnhumby Canada, a joint venture with the UK-based global customer data analysis and marketing consulting company, in order to develop marketing strategies to improve Metro's customers' experience and to set up and sell market intelligence to businesses with a similar marketing focus 
  • South Shore Industries Ltd. in the negotiation of an outsourcing and manufacturing agreement with a Mexican corporation for the manufacture in Mexico of products for distribution in the North American market
  • A large Canadian manufacturer in relation to the creation of a joint venture with a corporation controlled by the Chinese government for the development in China and in Canada of new products to be manufactured by both partners
  • A telecommunications operator in the negotiation of a joint bid agreement for purposes of the Advanced Wireless Services (AWS) Auction held by Industry Canada in May/June 2008
  • Advising the Telecommunications Regulatory Authority of the United Arab Emirates on the reform of its e-commerce legislation and drafting of a regulatory framework for the implementation of a public key infrastructure and authentification mechanism
  • Videotron in a multimillion dollar outsourcing agreement under which an Egyptian corporation provides certain services to Videotron's customers in Canada from an operating centre based in Cairo, Egypt
  • Cirque du Soleil in the establishment of a joint venture aimed at developing and offering third parties an integrated e-ticketing system enabling the safe collection of funds and the issuance of tickets online through internet outbox technologies and representing Cirque du Soleil in the negotiation of the first contract with the joint venture for the development of an e-ticketing system for Cirque du Soleil shows around the world
  • Two large telecommunications carriers in setting up a joint venture agreement for the purpose of providing certain telecommunication services to a provincial government in Canada
  • Bombardier Aerospace in the outsourcing of some of its publication services to Bangalore, India and in the development of a "Build, Operate and Transfer" solution (BOT)
  • Bombardier Aerospace in connection with a business process outsourcing agreement under which Cat Logistics agreed to offer Bombardier a variety of warehousing services, information systems and inventory management services and in connection with the establishment of two different distribution centres in Chicago (USA) and Frankfurt (Germany)
  • Bombardier Aerospace in connection with an agreement under which Bombardier received application development services from IBM Canada and an international Product Lifecycle Management (PLM) Center of Excellence was created in Montréal
  • Bombardier Aerospace in connection with an integration and services agreement under which CAMP Systems International agreed to provide Bombardier and certain of its customers with business aircraft maintenance management services through a computer-integrated maintenance management system previously operated by Bombardier
  • Cirque du Soleil in an information technology outsourcing agreement under which CGI took over responsibility for most of the IT services and infrastructure of the client worldwide, including the applications and help desk services for all of Cirque du Soleil's operations in Canada, the USA, Europe, Australia, South America and Asia
  • Bombardier Aerospace in connection with a 7 year IT outsourcing agreement under which CGI is responsible for services relating to existing applications, user office automation and the help desk for all of Bombardier Aerospace's North American operations and a data centre and infrastructure service
