A New Reference in Corporate Governance

Montréal - Ogilvy Renault LLP is pleased to announce the launch of a new book entitled Governance of Publicly Listed Corporations by Thierry Dorval, of its Business Law Group. The publication from LexisNexis Butterworths reviews the new corporate governance rules adopted by Canadian and U.S. regulators and examines their role helping directors to discharge their fiduciary duties. The book identifies two important pillars of good corporate governance: independence of the board and active monitoring. Dorval also examines how new rules of the Canadian Securities Administrators, the Sarbanes-Oxley Act, the SEC rules and the corporate governance standards of the New York Stock Exchange reinforce and affect these two pillars. "Thierry's book represents a timely contribution to the study of corporate governance practices and will undoubtedly be a useful reference document for directors, management and advisors. Thierry Dorval was called to the Bar in 1996 and has been advising Ogilvy Renault's clients on securities law and corporate governance matters since 1999. He is frequently called upon to review the corporate governance systems of major Canadian corporations, many of which are listed on both Canadian and U.S. stock exchanges. He also regularly advises boards and management on directors' and officers' liability issues, independent committee deliberations and shareholder matters. Thierry is one of the founding members of the Quebec Chapter of the Institute of Corporate Directors. He sat on the Corporate Governance Committee of the Fédération des chambres de commerce du Québec and is a member of the Quebec MBA Association.
