Ogilvy Renault represents Bowater Incorporated in merger with Abitibi-Consolidated Inc.

Montréal - Ogilvy Renault, LLP acted as Canadian legal adviser to Bowater Incorporated (NYSE: BOW) in connection with its merger of equals with Abitibi-Consolidated Inc. to create a global leader in publications papers (newsprint and other communications papers). AbitibiBowater Inc. will be the third largest paper and forest products company in North America and the 8th largest worldwide with a combined enterprise value in excess of US$9.0 billion.
Key features of this transaction are the use of a cross-border top-hat structure combined with Canadian exchangeable preferred shares which allow for a tax-deferred transaction for US and Canadian shareholders of Bowater and US and Canadian shareholders of Abitibi Consolidated. The new US parent company will be incorporated under the laws of Delaware and will be headquartered in Montreal, Canada.
