Infrastructure and Private-Public Partnerships
We advise project sponsors and developers, operators, lenders, investors amd governments on various infrastructure projects, including significant private-public partnerships in some of the largest and most innovative projects in Canada and abroad. These projects range from toll roads, railways and airports to hospitals, educational and correctional facilities, and municipal water and heating infrastructures.
Telecommunications
We have acted as lead counsel on numerous major financings in the telecom sector in emerging markets, including GSM, fixed and fixed wireless (two of which were the largest private sector financings ever completed in their respective countries) in Romania, Bulgaria, Croatia, Ukraine, Czech Republic, and Albania. Our team includes experts in telecommunications regulatory matters, broadcast, communications, technology, and intellectual property.
Energy
Ogilvy Renault is a leader in energy practice in Canada. As a result, clients rely on our experience in regulatory as well as commercial and transactional matters. We act as counsel to private enterprise and public sector agencies active in the energy market on matters related to restructurings and developments, infrastructure assessment, financing, regulatory approvals, construction and operation, power generation, distribution, transmission, exports, sales and purchasing, proceedings before regulatory agencies and commissions, as well as litigation and dispute resolution. Our experience acting for project sponsors, market participants, lenders, governments and quasi-government agencies helps to ensure the confidence and trust of each of our clients.
Mining and Natural Resources
We have acted as counsel to governments, project sponsors and lenders in connection with mining and natural resources projects in North America. Some highlights include acting for:
- The Canadian government in structuring programs to finance reclamation of mine sites
- The lending syndicate financing a 40% joint venture partner of the Diavik diamond mine in the Northwest Territories (2003 Euromoney North American Project Finance Deal of the Year)
- The lending syndicate financing the limited recourse secured acquisition by Aur Resources of the Quebrada Blanca copper mine in Chile
- The lending syndicate project financing the Andacollo copper mine in Chile
- An international financial institution on its project financing of the Hazira and Surat oil and gas fields in India
- A senior lender on the financing of major eucalyptus kraft pulp production facilities in the state of Bahia in Brazil
- The lending syndicate in connection with the project financing and bridge financing for the Las Cruces copper mine in Spain.
International Projects
We are proud to be home to Canada's most extensive international Projects and Project Finance team. We have acted as lead counsel on a number of significant transactions throughout the world including Western Europe, North America, Eastern and Central Europe, Asia, and Latin America. We have been senior legal advisors in projects in many countries, including: Albania, Bosnia and Herzegovina, Bulgaria, Chile, China, Croatia, Czech Republic, Estonia, Georgia, Hungary, India, Kazakhstan, Latvia, Lithuania, Mexico, Romania, Russia, South Africa, Tajikistan, Turkey, Ukraine, Uruguay and Uzbekistan. Our international work is assisted by an extensive local counsel network.
Our international work includes advising international financial institutions such as the European Bank for Reconstruction and Development, International Finance Corporation (the private sector finance arm of the World Bank), Nordic Investment Bank, Export Development Canada; acting for syndicates of major commercial banks, and other institutional lenders and underwriters on project finance transactions; and acting for project developers and operators on large infrastructure projects.
