On May 14, 2008, The Toronto-Dominion Bank issued €2,000,000,000 5.375% Deposit Notes due May 2015 (listed on the London Stock Exchange) pursuant to its US$8,000,000,000 Programme for the Issuance of Notes. The joint-lead managers for the offering were Barclays Bank PLC, Deutsche Bank AG, London Branch and The Toronto-Dominion Bank and the co-lead managers were HSBC Bank plc, Dresdner Bank AG London Branch and Lloyds TSB Bank plc.

The Issuer was represented in London and by Susan Mann and Peter Noble of Ogilvy Renault LLP.
